GENERAL
Wholesale Farm Direct Ltd and its affiliates provide their services to you subject to the following terms and conditions. The customer should ensure that they have read them thoroughly prior to purchasing any products.
CONSENT TO RECEIPT OF ELECTRONIC COMMUNICATIONS
When you visit Wholesale Farm Direct Ltd or send e-mails to us, you are communicating with us electronically. As such the customer agrees by registering on this website that they expressly consent to receive regular electronic communication and promotional communications.
ACCOUNT TERMS
As a user of this site, you are responsible for maintaining the confidentiality of your account and password. You furthermore agree to accept responsibility for all activities that occur under your account or password.
The customer is liable for all costs associated with the collection of any unpaid amounts where the customer’s payment has defaulted. This includes court costs as well as all debt collection fees.
Wholesale Farm Direct Ltd may disclose the customer’s information to the bank or credit card Company for the purposes of any debt recovery proceedings Wholesale Farm Direct Ltd may issue against the customer.
Wholesale Farm Direct Ltd and its affiliates reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders at their sole discretion.
The customer must be 18 years of age or over and may make payments by way of credit card or direct debit. Wholesale Farm Direct Ltd accepts payment by Visa or MasterCard, Fonterra Supply Account (via us) and to account number 03-0463-0435318-00 Westpac.
PRODUCT DESCRIPTIONS
Wholesale Farm Direct Ltd and its affiliates attempt to be as accurate as possible. However, Wholesale Farm Direct Ltd does not warrant that product descriptions or other content of this site is accurate, complete, reliable, current, or error-free. If a product offered by Wholesale Farm Direct Ltd itself is not as described, your sole remedy is to return it in unused condition.
ORDER VARIATIONS/CANCELLATIONS/RETURNS
The Customer may vary or cancel the order up to the point in time that Wholesale Farm Direct Ltd has commenced packing the order by contacting us on sales@wholesalefarmdirect.co.nz.
PRICING
Product prices are displayed in New Zealand currency.
The price of the products is exclusive of GST.
Wholesale Farm Direct Ltd may vary the prices of the products at any time without notice.
PRODUCT RANGE AND AVAILABILITY
All products are sold subject to their availability while stocks last. Wholesale Farm Direct Ltd shall not be responsible for its inability to supply products to the Customer where the product is unavailable or where stock has been exhausted.
The Wholesale Farm Direct Ltd website does not allow back orders for specials that are not available at the point of ordering.
Wholesale Farm Direct Ltd reserves the right to limit the range and or quantity of products available.
Wholesale Farm Direct Ltd may delay dispatch of a bulk order due to stock availability.
DELIVERY & FREIGHT
All items purchased from Wholesale Farm Direct Ltd should be delivered within 5 (five) working days, however Wholesale Farm Direct Ltd takes no responsibility for failure to deliver within this time frame.
All items purchased from Wholesale Farm Direct Ltd are made pursuant to a shipment contract. This means that the risk of loss and title for such items pass to you upon our delivery to the carrier.
Nothing in these terms and conditions entitles the Customer to refuse to take delivery or return the products as being surplus to their needs or for any other reason other than those agreed herein.
Wholesale Farm Direct Ltd reserves the right to refuse delivery of the Products to the Customer for any reason whatsoever.
Wholesale Farm Direct Ltd shall not be responsible for any failure to deliver or delay in delivery caused by any event outside its reasonable control.
Advice regarding order shortages or damage in transit must be given to Wholesale Farm Direct Ltd no later than three (3) days after receipt of the products.
WARRANTY & RETURNS
Wholesale Farm Direct Ltd sells quality products that are covered by a full manufacturer’s warranty.
This will be at least 12 months, or as stipulated. However, if you receive an item that is faulty or not up to the quality you expect, please contact us with details of the problem and your contact details. Our staff will contact you to discuss the problem. We may request that the item be returned to us. If the item is determined to be faulty, we will send a replacement at our cost, or provide a refund.
We will replace an item or provide a refund if:
1. you receive an item that is faulty;
2. you receive an item that has been damaged in transit; or
3. an item fails during its warranty period.
We will NOT replace an item or provide a refund if:
1. you damaged an item after you received it.
NOTICES
Wholesale Farm Direct Ltd will send all invoices and notices required to the address (postal, fax or email) that the Customer nominated as their preferred method of contact. It is the Customer’s responsibility to ensure that the Customer keeps Wholesale Farm Direct Ltd informed of any changes to their contact details.
USE OF YOUR INFORMATION
The Customers use of this website will generate certain information that will be recorded electronically by Farming Direct.
Information of this type may include, for example, the Customers IP address, usage statistics etc. Wholesale Farm Direct Ltd will also record the Customer’s contact details, credit information and any related personal details that the Customer supplies or that Wholesale Farm Direct Ltd obtains independently.
The Customer acknowledges that Farming Direct, its employees, carriers, contractors and agents may use or disclose any of the information identified in the previous clause for purposes connected with the supply of services to the Customer. Examples of purposes connected with supply include for example
administration of the Customers order or account on the website;
carrying out credit checks;
keeping the Customer up to date with new offers / changes at Farming Direct;
sharing with contractors to enable the Customer to use or facilitate their use of the website;
Undertaking any dealings or transactions with the Customer;
Enforcement of any legal or other rights Framing Direct sees fit.
The Customer may at any time make a written request to see any personal information that Wholesale Farm Direct Ltd holds or to ask to correct any mistakes in that information.
INTELLECTUAL PROPERTY AND COPYRIGHT
All content included on this site, such as text, graphics, logos, images, audio clips, digital downloads, data compilations, and software, is the property of Wholesale Farm Direct Ltd or its content suppliers and protected by international copyright laws.
The customer may not display or distribute the content of any part of this website in public, including any reproduction in any form on the internet without the explicit permission of farming Direct.
Any infringements of Farming Directs intellectual property or copyrights will be subject to litigation under New Zealand law.
SECURITY OF INFORMATION
Wholesale Farm Direct Ltd shall use its best Endeavour’s to prevent any unauthorized entry into the Wholesale Farm Direct Ltd website. However Wholesale Farm Direct Ltd shall not be liable for any damage or loss whatsoever if any third party gains unauthorized access.
The Customer is obligated to keep their login and password details safe and confidential at all times.
JURISDICTION / DISPUTES
This website is provided for use by New Zealand residents. Wholesale Farm Direct Ltd makes no representations that the website complies with the laws of any country outside of New Zealand.
These terms and conditions are governed by New Zealand law and any legal action against Wholesale Farm Direct Ltd must be taken in a Court in New Zealand.
The Customer agrees that in the event of any legal dispute relating to these terms and conditions the parties will attempt to settle matters by way of mediation at first instance.
ASSIGNMENT
The Customer may not assign any rights under this agreement except without the written consent of Farming Direct.
Wholesale Farm Direct Ltd may assign its rights under this agreement without seeking the Customer’s consent.
DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY
This site is provided by Wholesale Farm Direct Ltd and “as is” and “as available” basis. Wholesale Farm Direct Ltd makes no representations or warranties of any kind express or implied, as to the operation of this site or the information, content, materials, or products included on this site. You expressly agree that your use of this site is at your sole risk. To the full extent permissible by applicable law, Wholesale Farm Direct Ltd disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose. Wholesale Farm Direct Ltd does not warrant that this site, its servers, or e-mail sent from Wholesale Farm Direct Ltd are free of viruses or other harmful components. Wholesale Farm Direct Ltd will not be liable for any damages of any kind arising from the use of this site, including, but not limited to direct, indirect, incidental, punitive, and consequential damages.
